GAM responds to letter from Rock Investments SAS

On 17 August 2023 Rock Investments SAS (“Rock”) wrote to the GAM Board proposing short-term bridge financing from Rock to be made available should the Liontrust Asset Management Plc public exchange offer (“Liontrust Offer”) for the entire share capital of GAM Holding AG (“GAM”) be declared unsuccessful. GAM has written to Rock setting out its response and the key points in that letter are set out below.

Rock have stated that they plan to propose, at an extraordinary general meeting to be held in the future, a CHF 25 million convertible bond which they state will replace their proposed bridge financing. In our assessment, the proposed convertible bond is insufficient to maintain GAM as a going concern.

The first tranche of the Liontrust loan facility is now fully drawn to fund GAM’s losses and UK pension payments during July and August 2023, amounting to CHF 10 million. The remaining CHF 15 million net proceeds from the proposed convertible bond, once the Liontrust loan facility is fully repaid, is insufficient for the following reasons:

  • As stated in our 2023 half year results published on 3 August 2023, our underlying loss before tax was CHF 23.5 million for the six months ended 30 June 2023. On an annualized this is CHF 45-50 million, or approximately CHF 4 million per month.
  • As disclosed in GAM’s 2022 annual report, GAM is obligated to pay approximately CHF 10 million per annum or approximately CHF 1 million per month to the GAM UK pension scheme to remediate the technical provisions deficit.
  • The costs to restructure GAM will be significant. Liontrust has identified these costs to be approximately CHF 50 million based on an in-depth financial assessment reached after having conducted extensive open book due diligence over nine months. Liontrust can achieve significant cost savings due to the cost synergies available from bringing together the two investment management businesses.

In addition, as disclosed in GAM’s 2022 annual report, GAM’s balance sheet as of 31 December 2022 contains lease liabilities in-excess of CHF 40 million and the pension obligation referred to above runs for nearly another eight years and therefore represents a total future cash outflow of approximately CHF 80 million.

The level of capital injection required in the immediate foreseeable future exceeds CHF 100 million. Against this background, the proposed convertible bond is insufficient to maintain GAM as a going concern, in the short term let alone over the next 12 months as required by law and regulators. In addition, when such financing is implemented, it will either significantly dilute existing GAM shareholders if done through an external capital raise or significantly leverage the firm if done through external debt. In consideration of the above the GAM Board of Directors continue to strongly recommend the Liontrust Offer to GAM shareholders.

GAM requests that Rock acknowledge and accept the realities relating to GAM’s financial position, if the Liontrust Offer is declared unsuccessful. It is essential that Rock acknowledge and accept publicly that the level of funding needed to stabilise GAM is significantly higher than the net proceeds of the Rock proposed convertible bond (approximately net CHF 15 million) and is likely to be in-excess of CHF 100 million. Failing to do so is not reflective of GAM’s actual financial position and business performance and is misleading to GAM and its shareholders.

The Liontrust Offer is the only viable option in the interests of all stakeholders. Liontrust have done extensive due diligence and the enlarged business will have a strong balance sheet, a broader array of excellent investment products, a global distribution footprint and the capability to deliver synergies and growth, in which GAM shareholders can participate in the future. The Liontrust Offer also continues to be strongly supported by the senior portfolio managers of GAM, who believe that it is in the best interests of our clients. The GAM Board urges all GAM shareholders to tender their shares.

Shareholders can tender their shares into the Liontrust Offer until 23 August 2023 16:00 CEST.

Accordingly, Liontrust Asset Management Plc intends to structure the Offer in a manner whereby each such holder would receive average net cash proceeds from the sale of the Liontrust Shares that it would otherwise be entitled to receive in the Offer (such arrangement, a "Vendor Placement"), unless such holder makes such representations, warranties and confirmations as Liontrust Asset Management Plc may require, and Liontrust Asset Management Plc, in its sole discretion, determines that such holder may receive the Liontrust Shares without filing of a registration statement with the SEC or another relevant regulatory body. Shareholders of GAM Holding AG in the United States of America are advised that the GAM Shares are not listed on a U.S. securities exchange and that GAM Holding AG is not subject to the periodic reporting requirements of the U.S. Securities Exchange Act of 1934, as amended (the "Exchange Act"), and is not required to, and does not, file any reports with the SEC thereunder.

The Liontrust Shares to be offered in exchange for GAM Shares pursuant to the Offer have not been and will not be registered under the U.S. Securities Act of 1933, as amended ("U.S. Securities Act"), nor under any law of any state of the United States of America, and may not be offered, sold, resold or delivered, directly or indirectly, in or into the United States of America, except pursuant to an exemption from the registration requirements of the U.S. Securities Act and applicable state securities laws. The Offer Documentation does not constitute an offer to sell or the solicitation of an offer to buy any securities in the United States of America. 4. European Economic Area
